By accessing or using RepuCare’s services (“Services”), you agree to be bound by these Terms and Conditions (“Agreement”). If you do not agree, you must not use our Services.
2. Description of Services
RepuCare provides businesses with tools to manage their online reputation, including but not limited to:
Automated review requests via SMS, email, and other channels
Review monitoring and reporting
Client communication dashboards
Integration with third-party platforms (e.g., Twilio, Google Business, etc.)
RepuCare may update or change the Services at any time.
3. Eligibility
You must be at least 18 years old and authorized to act on behalf of the business entity you represent.
4. User Responsibilities
By using the Services, you agree to:
Provide accurate and up-to-date information.
Comply with all applicable laws, including TCPA, CAN-SPAM Act, GDPR, and 10DLC regulations.
Obtain prior consent from recipients before sending SMS or email messages through the platform.
Refrain from using the Services for unlawful, fraudulent, or abusive purposes.
5. Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify RepuCare immediately if you suspect unauthorized access.
6. Payments, Subscriptions, and Cancellations
Services are offered on a subscription basis (monthly/annual plans).
Payments are due in advance and processed via our secure billing provider (Stripe).
Subscriptions automatically renew unless canceled prior to the renewal date.
Refunds are not guaranteed and are at RepuCare’s discretion.
7. Messaging & Compliance
All SMS and email campaigns must comply with industry regulations, including providing opt-out options (e.g., replying STOP to unsubscribe).
You acknowledge that RepuCare is not liable for carrier filtering, blocked messages, or legal violations resulting from your use of the Services.
You are solely responsible for the content of your communications.
8. Data & Privacy
RepuCare may collect and process data in accordance with our Privacy Policy.
We do not sell or share client data with third parties except as required to provide Services (e.g., integration partners like Twilio).
You retain ownership of your customer data but grant RepuCare a license to process it for providing Services.
9. Limitation of Liability
RepuCare is not liable for:
Indirect, incidental, or consequential damages.
Loss of profits, business opportunities, or data.
Service interruptions caused by third-party providers or carriers.
Our total liability will not exceed the amount paid by you in the past three (3) months.
10. Termination
RepuCare reserves the right to suspend or terminate accounts that violate this Agreement, misuse the Services, or fail to pay subscription fees.
11. Indemnification
You agree to indemnify and hold harmless RepuCare, its affiliates, and staff against claims, damages, or liabilities arising from your use of the Services or violation of this Agreement.
12. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to conflict of laws principles.
13. Changes to Terms
RepuCare may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
